1. Services and Contracts

We provide business process outsourcing, contact-centre, back-office and related professional services. Specific service scopes, deliverables, fees and schedules are set out in our proposals, statements of work or individual contracts. In case of conflict between these Terms and a signed agreement, the signed agreement governs.

2. Client Obligations

Clients must supply accurate information, obtain required consents for any third-party data they provide, cooperate with our teams and deliver timely feedback. Clients are responsible for the legality and accuracy of the materials they provide for processing.

3. Fees, Invoicing and Payment

Fees are as set out in proposals or invoices. Unless stated otherwise, payments are due within the period specified on invoices. Overdue amounts may attract interest at a commercially reasonable rate and may result in suspension of services until payment is made. Clients are responsible for applicable taxes unless expressly stated otherwise.

4. Intellectual Property

Unless otherwise agreed in writing, Outer Orbit Technologies retains ownership of all intellectual property, methodologies and tools developed prior to or independently from client engagements. Deliverables produced specifically for a client will be licensed to the client on payment in full, subject to any third‑party rights and residual know‑how retained by us.

5. Confidentiality and Data Protection

Each party agrees to keep the other’s confidential information secure and only use it to perform obligations under the contract. We process personal data in accordance with our Privacy Policy. We will implement reasonable security measures and will enter into data processing agreements where required.

6. Warranties and Disclaimers

We warrant that services will be provided with reasonable skill and care. Except as expressly stated, services and deliverables are provided "as is" and we disclaim all other warranties, whether express or implied, to the maximum extent permitted by law.

7. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability for direct loss arising from or in connection with services is limited to the total fees paid by the client for the relevant services in the 12 months preceding the claim. We exclude liability for indirect, special or consequential losses, loss of profit and loss of data.

8. Indemnity

The client will indemnify and hold us harmless from claims arising from client-supplied materials, violation of third-party rights, or misuse of services, except where such claims arise from our gross negligence or wilful misconduct.

9. Termination

Either party may terminate services in accordance with the termination provisions in a signed agreement. On termination, outstanding fees and expenses become payable and we will return or delete client data as agreed, subject to legal retention obligations.

10. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, such as natural disasters, strikes, acts of government, or network outages. Affected obligations will be suspended for the duration of the force majeure event.

11. Governing Law

These Terms are governed by the laws of India. Unless otherwise agreed, disputes will be subject to the exclusive jurisdiction of the courts in Ranchi.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be published on our website and notified to clients where required. Continued use of our services after changes indicates acceptance of the revised Terms.
